Agreement to these terms

These Terms of Use (the “Terms”) are a binding agreement between you and Amino Central (“we,” “us,” “our”). They apply to your use of this website and to every order you place. By accessing the site, creating an account, or placing an order, you agree to these Terms, our Research Use Policy, Refunds & Returns, Shipping & Payments and Privacy Policy, which are part of this agreement. If you do not agree, do not use the site or order from us.

Eligibility

You must be at least 21 years of age to use this site or purchase from us. If you order for a company, laboratory or institution, you confirm that you are authorized to bind it to these Terms, and “you” includes that organization.

Research use only

All products are sold exclusively for laboratory, in-vitro research and development use by qualified persons. They are not for human or animal use, including veterinary use, and are not intended for any medical, diagnostic, food, cosmetic or dietary-supplement purpose. They are not drugs, medical devices, foods, dietary supplements or cosmetics, and the statements on this site have not been evaluated by the U.S. Food and Drug Administration.

The Research Use Policy sets out what you confirm when you order, and what you may not do with our products. You accept full responsibility for the lawful, safe handling, storage, use and disposal of everything you buy from us.

Chemical supplier, not a pharmacy

Amino Central is a supplier of research chemicals and laboratory reference materials. We are not a pharmacy, a compounding pharmacy, an outsourcing facility, or a drug manufacturer, and we are not registered or licensed as any of these. We are not a 503A compounding pharmacy or a 503B outsourcing facility under the Federal Food, Drug, and Cosmetic Act.

Nothing we sell is a compounded drug, a prescription product, a dietary supplement, a food, or a cosmetic. We do not dispense medicines, fill prescriptions, or provide pharmacy or medical services, and nothing on this site is an offer to do so. Information on this site describes laboratory materials. It is not medical advice and must not be used for that purpose.

Your account

You are responsible for the accuracy of the information you give us, for keeping your password confidential, and for everything done through your account. Tell us promptly at support@aminocentral.com if you suspect unauthorized use. We may suspend or close an account that is inactive, inaccurate, shared with others, or used in breach of these Terms.

Orders, pricing & payment

Prices are listed in U.S. dollars and may change without notice. An order is an offer to buy; we accept it when we ship it, and we may accept part of an order. Orders ship Monday–Friday, excluding holidays. Orders received before 1:00 PM ET on a shipping day ship the same day. Orders received at or after 1:00 PM ET, or on weekends or holidays, ship the next business day. We do not ship on weekends.

You agree to pay the price shown at checkout plus any shipping and applicable taxes. We may correct pricing, description or availability errors, even after an order is placed. If we do and you have paid, we will offer you the choice of the corrected order or a full refund of the affected items.

Payment must be received before an order ships unless we have approved written payment terms for your account. Invoiced orders are due by the method and date on the invoice. If you dispute a charge with your bank or card issuer, please contact us first so we can resolve it. If a dispute is filed, we may submit your order, attestation and delivery records to the issuer, and we may suspend your account while it is open.

Shipping, title & risk of loss

Shipping is described in the Shipping & Payments policy. Title to the products and risk of loss pass to you when we hand the package to the carrier. Delivery dates are estimates, not guarantees. You are responsible for giving us a complete, correct and deliverable address.

Our right to refuse or cancel orders

We may decline, limit, cancel, or refuse any order at our sole discretion, including after an order has been placed or payment has been authorized. Reasons include suspected resale or diversion, any indication that products may be intended for human or animal use, suspected fraud or payment risk, quantities outside normal research use, shipping destinations we do not serve, inaccurate information, or any suspected violation of these Terms or applicable law.

If we cancel an order for which you have already been charged, we refund the amount charged for the cancelled items. We may require verification of identity, research affiliation, or intended use before accepting or shipping an order.

Product information

Product names, descriptions, images, specifications and certificates of analysis identify and describe laboratory materials. Images are illustrative, and packaging, labeling and appearance may vary from lot to lot. Documents published for a lot describe that lot, and nothing on this site is a statement about how a product performs in any person or animal.

Prohibited conduct

You may not use the site or our products to break any law; to give false information about your identity, age or intended use; to resell, transfer or advertise our products for human or animal use; to scrape, copy or republish the site at scale; to probe, overload or interfere with its security or operation; or to buy on behalf of someone you know intends to misuse the products. We may report suspected unlawful activity to the authorities.

Intellectual property

The site, its text, graphics, logos, product names, documents and layout belong to us or our licensors and are protected by law. We grant you a limited, revocable, non-exclusive license to view the site and keep your own order records. Anything beyond that, including copying our copy, images or certificates for your own marketing, needs our written permission.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT FOR THE REMEDIES IN THE REFUNDS & RETURNS POLICY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO THEY APPLY ONLY TO THE EXTENT THE LAW ALLOWS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMINO CENTRAL, ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, SUPPLIERS AND MANUFACTURERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST RESEARCH OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR A PRODUCT IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM. THE REMEDIES IN THE REFUNDS & RETURNS POLICY ARE YOUR SOLE AND EXCLUSIVE REMEDIES FOR A DEFECTIVE, DAMAGED OR NON-CONFORMING PRODUCT.

Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend, indemnify and hold harmless Amino Central, its owners, affiliates, officers, directors, employees, agents, suppliers and manufacturers from and against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost or expense, including reasonable attorneys' fees, arising out of or related to: (a) your purchase, handling, storage, use, transfer, resale or disposal of any product; (b) any use of a product that is not laboratory research use, including any use in or on a person or animal; (c) your breach of these Terms, the Research Use Policy or any statement you made when ordering; (d) your violation of any law or the rights of any third party; and (e) any claim by a person to whom you supply a product or information about it.

We will give you prompt notice of a claim we expect you to cover. We may take over the defense and control of any matter, at your expense, and you will cooperate with us. You may not settle a claim in a way that admits fault by us or imposes an obligation on us without our written consent. This section survives the end of these Terms and of your account.

Resale

You may resell our products only to qualified laboratory and research buyers, with the research-use-only labeling and these terms intact, and only if you give each of your buyers terms at least as protective as the Research Use Policy. You are responsible for your buyers and for every claim you or they make about the products. Do not describe our products as drugs or medicines, and do not make human-use, dosing or health claims.

Third-party services and links

The site may link to or rely on third-party services such as payment processors, carriers and analytics providers. We do not control them and are not responsible for their content, availability or practices.

Suspension & termination

We may suspend or end your access, and cancel pending orders, at any time if we believe you have breached these Terms or the law, or if continuing to serve you poses a legal, safety or payment risk. You may close your account at any time by contacting us. Sections that by their nature should survive, including those on liability, indemnification, governing law and payment obligations, will survive.

Electronic communications

You agree that we may send you notices, order confirmations, invoices and legal messages electronically, and that electronic messages satisfy any legal requirement that they be in writing.

Governing law & disputes

These Terms and any dispute arising from them or from a purchase are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. Before filing any claim, each side will send the other a written notice describing the dispute and will try in good faith to resolve it for 30 days. If that fails, the dispute will be decided exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction and venue.

General

These Terms and the policies they reference are the entire agreement between you and us about the site and your purchases, and replace earlier statements. If any part is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, sale or reorganization. We are not liable for delay or failure caused by events beyond our reasonable control, including carrier disruption, supplier shortage, regulatory action, outages and force majeure events.

Changes to these Terms

We may update these Terms from time to time. The revised version applies to orders placed and use of the site after its effective date, which is shown at the top of this page. Your continued use of the site means you accept the revised Terms.
